1) Agreement to Terms

By downloading, installing, or using Inniko Counter (“App”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the App.

2) Who we are

3) Description of Service

Inniko Counter is a family-friendly timer and habit-building app that lets families run timers, award stars, and save simple profiles (nickname + emoji) on the device.

4) Eligibility and Parental Supervision

• The App is designed for family use under parental/guardian supervision.

• Children under 13 should use the App only with a parent/guardian.

• Access to settings and external links is intended for adults and may be protected by a parental gate.

5) License and Restrictions

We grant you a limited, personal, non-exclusive, non-transferable, revocable license to install and use the App on devices you own or control, solely for non-commercial, family use. You agree not to:
(a) copy, modify, adapt, translate, or create derivative works;
(b) reverse engineer or attempt to extract source code except as permitted by law;
(c) rent, lease, sell, sublicense, or otherwise transfer the App;
(d) use the App in any unlawful, harmful, or exploitative manner.

6) User Content (child nicknames/emojis)

You own your nicknames, emojis, and configuration (“User Content”). You grant us a limited license to process User Content locally on the device solely to operate the App. We do not host or receive your data unless we clearly say otherwise in the future.

7) Privacy

We do not collect personal data nor transmit app data to our servers. Data remains on your device. See our Privacy Policy for details and how to reset data.

8) Acceptable Use

Do not use the App to submit unlawful, abusive, or inappropriate content. Do not attempt to circumvent parental features or gates.

9) Availability; Updates; Changes

We may update or change features, or suspend/withdraw the App at any time. We may push updates that you must install to continue using the App.

10) Fees and Purchases

The App currently has no fees or in-app purchases. We may introduce paid features later with notice and updated terms.

11) Third-Party Links & Services

The App may open our website (inniko.cz) that we operate. If the App opens any third-party sites (e.g., app stores), their terms and privacy policies apply.

12) Disclaimers

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES (EXPRESS, IMPLIED, OR STATUTORY), INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. The App is educational/organizational and not a substitute for professional advice or supervision.

13) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP (IF ANY).

14) Indemnification

You agree to indemnify and hold Inniko s.r.o. harmless from claims arising from your misuse of the App or violation of these Terms.

15) Termination

You may stop using the App at any time by deleting it. We may suspend or terminate access if you violate these Terms. Uninstalling the App deletes local data.

16) Export Controls

You represent you are not located in a country embargoed by your app store’s laws and are not on a prohibited parties list. You will comply with applicable export and sanctions laws.

17) Apple and Google Terms (Platform Addenda)

If you downloaded the App from the Apple App Store or Google Play:

• These Terms are between you and Inniko (not Apple or Google).

• Apple/Google are third-party beneficiaries and may enforce these Terms against you.

• You must use the App only on devices you own or control and as permitted by the platform’s terms.

• Inniko (not Apple/Google) is responsible for support and for addressing any claims relating to the App.

18) Governing Law; Venue

These Terms are governed by the laws of Czech Republic, without regard to conflict-of-law rules. Courts located in Brno, Czech Republic shall have exclusive jurisdiction.

19) Changes to These Terms

We may modify these Terms. Material changes will be communicated in the App or on our website. Your continued use after changes means you accept the updated Terms.

20) Miscellaneous

Severability. If any part is invalid, the rest remains effective.
No Waiver. Failure to enforce a term isn’t a waiver.
Entire Agreement. These Terms + the Privacy Policy are the entire agreement regarding the App.
